3. Pricing and Payment Terms

3.1 Pricing Structure

We offer Services through two primary models:

All payments are processed securely through Stripe in live mode. By purchasing Services, you authorize us to charge your payment method. You are responsible for maintaining accurate payment information and notifying us of any changes.

3.3 Billing Practices

• Monthly subscriptions renew automatically on the same date each month unless cancelled
• We will send payment confirmations and receipts to your email address on file
• Invoice and transaction information is available through your Stripe account
• All prices are in USD unless otherwise specified
• Taxes and fees may apply depending on your location

3.4 Failed Payments

If a payment fails, we will attempt to retry it for a reasonable period. If payment cannot be collected, we may suspend your Services until payment is received. Repeated failed payments may result in cancellation of your account.

4. Free Audits

We offer complimentary business audits to prospective and existing clients. Free audits are provided "as-is" without warranty. Audit recommendations are suggestions only and do not obligate you to purchase Services. Audit findings remain our intellectual property unless you engage us for paid Services, in which case audit work may be incorporated into your project.

5. Cancellation and Termination

5.1 No Long-Term Contracts

You are not locked into any long-term contract. You may cancel your Services at any time.

To cancel a monthly subscription or ongoing Services:

3. Specify your desired cancellation date

Cancellation requests are processed within 2 business days.

5.3 Cancellation Effective Date

• Cancellations are effective at the end of your current billing cycle unless you request immediate cancellation
• Immediate cancellations result in forfeiture of any remaining subscription time for that billing period (no refunds for partial months used)
• One-time setup services cannot be cancelled after work has begun

Upon cancellation:

• You retain all rights to work we created for you
• We will provide you with all your data and documentation
• Access to our platforms and Services will be disabled
• Some integrations may require separate cancellation with third parties

5.5 Our Right to Terminate

We reserve the right to terminate or suspend your Services if:

• You violate these Terms or applicable laws
• You use Services for illegal or harmful purposes
• You engage in fraudulent or abusive behavior
• Payment cannot be collected despite good faith attempts

All work created specifically for you under paid Services—including custom code, designs, automation workflows, website designs, and branding materials—becomes your intellectual property upon full payment. You own the deliverables and may use them as you wish.

7.2 Pre-Built Systems and Tools

Our pre-built AI systems, chatbot templates, platform infrastructure, and proprietary tools remain our intellectual property. You receive a license to use these tools as part of your Services, but may not resell, redistribute, or claim ownership of them.

7.3 Free Audit Materials

Recommendations and findings from free audits remain our intellectual property unless you purchase Services, in which case they may be incorporated into your project work.

8. Limitations of Liability and Disclaimers

8.1 Services Provided "As-Is"

Our Services are provided "as-is" without warranties of any kind, whether express or implied. We make no guarantee that:

• Services will be error-free or uninterrupted
• Services will meet all your business needs
• AI systems will perform at any particular accuracy or speed

• Outages or failures of third-party platforms (Stripe, email services, hosting providers, etc.)

• Changes to third-party services beyond our control

8.3 Limitation of Damages

To the maximum extent permitted by law, our total liability for any claim arising from your use of Services shall not exceed the total amount you paid us in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages.
